Terms of Service

Zoperate is a marketplace that connects three kinds of users. Builders create AI agents and list them. Resellers activate listed agents, customize them within the limits the builder set, and offer them to their own clients. Customers subscribe to agents that perform work automatically, including agents triggered by events such as incoming email or webhooks. Zoperate operates the infrastructure that runs the agents.

Zoperate provides the platform. It does not author the agents that builders publish and does not guarantee the results any particular agent produces.

• You must provide accurate account information and keep it current.
• You are responsible for activity that occurs under your account and for keeping your credentials secure. Notify us promptly if you believe your account has been accessed without authorization.
• You must be at least 18 years old, or the age of majority where you live, to use Zoperate.
• One person or entity may not maintain accounts created to evade suspension or usage limits.

You agree not to use Zoperate to:

• Break the law, infringe intellectual property or privacy rights, or help someone else do so.
• Send spam, run deceptive campaigns, or impersonate another person or organization.
• Process data you do not have the right to process, including connecting a mailbox you do not own or control.
• Attempt to breach, overload, or reverse engineer the platform, or circumvent rate limits, usage caps, or access controls.
• Generate content that is harassing, defamatory, or that exploits or endangers minors.
• Resell or expose the platform in a way that misrepresents who is operating the service.

Use of Zoperate is also subject to the usage policies of the model providers whose APIs power the agents. We may suspend an account that violates this section.

• Builders own the agent designs they create, including the instructions and knowledge that define them. By listing an agent, a builder grants Zoperate the license needed to host, display, and run that agent for resellers and their customers, and grants resellers the right to customize it within the bounds the builder configured.
• Resellers are responsible for the customizations they apply and for their relationship with their own clients, including what they promise those clients.
• Customers retain ownership of the data they submit or connect. You are responsible for using agents lawfully and for reviewing agent output before relying on it.
• AI output. Agent output is generated by AI models and can be inaccurate or incomplete. It is not legal, financial, medical, or professional advice. Verify anything consequential before acting on it.

Subscriptions to agents are handled through the platform. Fees, billing intervals, and revenue sharing between Zoperate, builders, and resellers are presented at the point of purchase or in your account. Unless stated otherwise at purchase, subscriptions renew automatically until cancelled, and cancellation takes effect at the end of the current billing period.

Zoperate is pre-launch, and the specifics of pricing, payouts, and billing may change before general availability. We will give notice of material changes to paid terms before they take effect on your account.

Zoperate integrates with third-party services, including Google (Gmail), Anthropic, and Supabase, and with any webhook destination you configure. Your use of those services is governed by their own terms. We are not responsible for the availability or conduct of third-party services. How data flows to these providers is described in our Privacy Policy.

Zoperate is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that agent output will be accurate or fit for your purpose.

To the maximum extent permitted by law, Zoperate and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the service.

Our total liability for any claim relating to the service is limited to the greater of one hundred U.S. dollars ($100) or the amount you paid to Zoperate in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold harmless Zoperate and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content or agent configurations, or your violation of these terms or of applicable law.

You may stop using Zoperate and delete your account at any time. We may suspend or terminate an account that violates these terms, creates risk or legal exposure, or has been inactive for an extended period. On termination, your right to use the service ends and your data is handled as described in the Privacy Policy. Sections covering content ownership, disclaimers, limitation of liability, indemnification, and governing law survive termination.

We may update these terms as the product develops. When we do, we will revise the effective date above, and material changes will be communicated to account holders. Continuing to use Zoperate after a change takes effect means you accept the updated terms.

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law rules. The state and federal courts located in Virginia have exclusive jurisdiction over disputes arising from these terms, and you consent to venue there.
